Technology-first position
NewCo is designed around connected building information, stronger field documentation and an operating record that improves after every approved job.
A technology-first commercial HVAC company
NewCo is the working name, to be chosen together.
Fetty, this proposal is about building a different kind of commercial HVAC company: a technology-first operator grounded in the skilled trades, led by qualified technical professionals and powered by best-in-class service technicians. Your authentic connection to HVAC, workforce opportunity and second chances gives the company a purpose that is real. The operating team gives it the authority, discipline and field capability to service, install, test and commission commercial systems correctly.
Technology will strengthen the trade, not replace it. NewCo will give technicians better information before they arrive, clearer standards while they work and stronger tools for documenting what they find and complete. Owners will receive responsive service, accountable communication and a reliable operating record around their equipment. The goal is simple: build a company that respects the craft, creates meaningful career pathways and earns long-term commercial relationships through exceptional execution.
This is an idea for private discussion, not a binding offer or final business plan. The purpose is to see whether the vision feels authentic to you before anyone develops founder terms, budgets, operating structures or public announcements.

01 · Executive proposition
NewCo will be different from the beginning. It will combine best-in-class service technicians and licensed mechanical leadership with a modern operating model built to give field teams better information, preserve the service record and provide owners with clearer communication around their equipment. That technical foundation is then matched with something most HVAC startups spend years trying to build: trusted access to owners, developers, asset managers and property leaders who control commercial contracts.
We are not adding software to make a conventional contractor look modern. We are building a field-first HVAC company whose technicians, information and owner relationships operate as one system.
NewCo is designed around connected building information, stronger field documentation and an operating record that improves after every approved job.
Licensed leadership and exceptional service technicians retain authority over diagnosis, safety, installation, commissioning and final acceptance.
Established commercial real estate relationships create a potential path into active owner conversations rather than relying only on cold service calls.
Every assessment, repair and capital project is structured to support maintenance, monitoring, portfolio reporting and a longer owner relationship.
02 · Why Fetty · Why now
Fetty, when Tamron Hall asked whether your backup plan was becoming “Fetty the HVAC guy,” you answered, “Yeah, I’m so serious too.” You explained, “I got my GED. I took a few HVAC courses. I did a few things,” and said that meeting people with legitimate businesses earning “rapper money” made you think, “I’ma try that out.” That is the real starting point for this proposal. We are not attaching your name to an idea you never expressed. We are bringing a commercial structure to something you already took seriously.
On The Breakfast Club, you clarified, “I didn’t get my HVAC certification, but I got my GED,” and explained that you started the HVAC coursework but did not have enough time to finish before coming home. You also said, “Once I put my pride to the side … I start living my life, bro.” We respect that honesty. This proposal does not ask you to present yourself as a licensed technician. It invites you to lead the mission, learn alongside qualified operators, support recruitment and workforce opportunity, and build the company professionally with Stephen and me.

03 · The relationship advantage
Anthony Kazazis, Linda Christman and Lea Christman are not distant media contacts. They are established friends and business colleagues within Stephen’s commercial real estate network, and they lead platforms that owners, developers, asset managers and property managers already use for information, introductions and industry gatherings. That gives NewCo the potential to do more than purchase exposure by designing targeted online and in-person programs around the accounts, property sectors and operating problems the company wants to serve. These relationships demonstrate a credible path to market, not a promise of introductions, media support or commercial participation before each party confirms interest in writing.

Strategic advantage
The combined network reaches owners and managers through the formats they already use to evaluate vendors, learn about operating risk and meet industry peers. Stephen can define the account objective; Linda, Lea and Anthony can help shape the room, the content and the distribution; Jae can build the experience; and Fetty can give the program cultural visibility without replacing technical authority.
Together, that creates an unusually difficult-to-replicate path from trusted introduction to qualified commercial conversation.

04 · The technology advantage
NewCo will be positioned as a technology-first commercial HVAC company: not a software company pretending to perform mechanical work, and not a conventional contractor treating data as an afterthought. The company’s field work will be led by properly licensed operators and performed by trained, qualified and appropriately certified technicians who know how to service, install, replace, test and commission commercial HVAC systems. Technology becomes the operating layer that helps those professionals see problems earlier, document work better and give owners a clearer view of mechanical performance.
MovementAI already develops relationships with building owners, developers, asset managers, property managers and facility leaders around a larger question: how can a building understand its own operating condition and act before friction becomes cost, delay or failure? Where the owner approves and the scope is a fit, MovementAI could introduce NewCo as a potential HVAC delivery partner. That could create a qualified sales channel rooted in an existing owner conversation, not a cold service call. The reason for the recommendation is practical: NewCo will understand the Building Brain model, preserve the required data trail and perform the licensed physical work needed to turn an intelligence signal into a verified outcome.
With owner permission and appropriate system access, equipment, controls, sensor, alarm, runtime, maintenance and work-order data can flow into the MovementAI Building Brain. MovementAI can organize those signals with building context, identify abnormal conditions or readiness concerns and generate a prioritized action for review. NewCo’s licensed technical team then validates the condition in the field, determines the proper remedy, performs the approved service, installation or commissioning work and returns completion evidence and updated equipment information to the owner’s operating record. The result is a closed loop from signal, to diagnosis, to authorized work, to verified outcome, rather than another disconnected service ticket.
That specialized model changes the competitive frame. A conventional contractor may maintain the equipment; a technology-first HVAC partner can maintain both the equipment and the continuity of information around it. For owners, that can mean faster prioritization, stronger capital planning, cleaner portfolio reporting, more useful maintenance history and a service partner capable of working alongside building automation, analytics and operational-intelligence platforms. For NewCo, it creates recurring value beyond the initial repair and makes every completed job part of a smarter long-term building relationship. A proposed strategic partnership with Quotron can then give that operating intelligence a physical presence, making approved building and service states visible on the owner’s desk instead of leaving them inside another disconnected dashboard.

MovementAI can introduce NewCo inside active conversations with owners and managers who already care about building performance, subject to each owner’s approval and procurement requirements.
NewCo is designed to work with approved BAS, controls, sensor and work-order data instead of leaving technical records trapped in separate systems.
Licensed leadership and qualified technicians retain authority over diagnosis, safety, permits, installation, refrigerant work, commissioning and final acceptance.
Service findings, approved actions, completion records and updated asset information can return to the Building Brain so the building’s operating memory improves over time.
Research basis: U.S. Department of Energy, Building Controls and Grid-Interactive Efficient Buildings; Lawrence Berkeley National Laboratory, Building Fault Detection and Diagnostics: Achieved Savings and Methods to Evaluate Algorithm Performance; NIST, Automated Fault Detection and Diagnostics for Mechanical Services in Commercial Buildings; ASHRAE Guideline 13 and BACnet resources. These findings support the technology-first operating model but do not guarantee savings for any specific building.
Important: At this concept stage, MovementAI’s licensing, ownership, data responsibilities, commercial terms and relationship with NewCo remain open for later discussion and definitive agreements.
05 · Quotron strategic partnership
Following technical validation and execution of definitive agreements, NewCo can announce a strategic partnership with Quotron, the American-made real-time display company on whose board Stephen serves. The proposed experience, NewCo Live Building Signal, powered by Quotron and connected to the MovementAI Building Brain, would turn approved HVAC and service information into a visible, always-present owner interface.
This would not be a promotional ticker streaming raw mechanical data. Each display would be provisioned to an approved owner, property or portfolio and would show only governed operating states such as building normal, action recommended, NewCo validating, work authorized, service in progress and outcome verified. The detailed equipment record, evidence, recommendations and authorization workflow would remain inside a proposed secure MovementAI mobile experience.
For qualified maintenance, monitoring or portfolio relationships, the device can be included as an owner-visibility interface for the service term rather than described as a personal gift. That distinction protects procurement integrity and makes the Quotron part of the operating model: a physical endpoint of the Building Brain, a transparent view into NewCo’s response and a daily reminder that this is not a conventional contractor relationship.
Stephen’s board involvement creates direct strategic access to explore a co-designed data channel, co-branded hardware, enterprise provisioning and a coordinated partnership announcement. It also requires disciplined governance. NewCo should disclose the relationship, document fair commercial terms and obtain appropriate approvals for any related-party arrangement before making commitments to clients.
A premium desk display keeps approved building status, service progress and verified outcomes visible without requiring another dashboard to remain open.
Only owner-approved, non-sensitive summaries appear. No tenant information, credentials, security data or autonomous equipment control is exposed.
The Quotron provides awareness; the proposed secure MovementAI experience provides the underlying equipment record, evidence, recommendations and action workflow.
An executive display can rotate among approved properties, showing exceptions, preventive-maintenance status and service progress across a portfolio.
Quotron publicly describes premium P3 LED displays, dual-line real-time streaming, American manufacturing and mobile-web control of brightness, speed and selected data streams. A general custom-feed API, enterprise tenant isolation, device-management controls, security commitments, uptime and offline behavior are not established in its public materials and must be validated before the partnership or client experience is announced.

06 · Leadership
President & Co-Founder · Skilled Trades & Workforce Ambassador
Co-Founder · Chief Revenue Officer & Head of Commercial Sales
Co-Founder · Chief Brand & Creative Officer
Chief Operating Officer · Technical Delivery
If the idea resonates, the founders would work together with counsel and licensed HVAC leadership to define titles, authority, time commitments, compensation, ownership and governance before the company moves forward.
07 · The business model
The sales organization will not be built around isolated residential calls. Its mandate is recurring commercial revenue, long-term client relationships and portfolio expansion. Every completed project should lead to maintenance, monitoring, replacement planning or another building relationship. Where technically and commercially appropriate, the NewCo Live Building Signal can be included during the service term as an owner-visibility layer that strengthens reporting, engagement and renewal.
Multi-year inspection, tune-up, filter, controls and seasonal-readiness agreements.
Master service agreements covering multiple buildings under one owner or manager.
Priority dispatch, defined response times and after-hours coverage.
Planned rooftop-unit, boiler, chiller, heat-pump and controls replacements.
Optimization, commissioning, electrification and emissions-reduction scopes.
HVAC packages for renovations, tenant improvements and capital plans.
Qualified accounts, buildings and square footage represented, assessments completed, proposals issued, contract value, recurring revenue, gross margin, renewal rate, sales cycle, portfolio expansion and referral production.
08 · Sales, media and events
NewCo can use the partners’ standard advertising, sponsorship, conference, newsletter and exhibition products. The greater advantage is Stephen’s ability to work directly with them on custom programs that convene the precise owners and managers the sales team wants to contract with, while a working Quotron demonstration makes the Building Brain and NewCo response model immediately visible.
Invitation-only hospitality for owners, asset managers and facility leaders, combining useful building intelligence, live Quotron service-state demonstrations, music, brief founder remarks and scheduled portfolio reviews.
Custom editorial, webinar and conference content addressing maintenance risk, capital planning, operating costs, indoor air quality and equipment replacement across Mid-Atlantic asset classes.
A focused exhibit with a live Building Brain-to-Quotron demonstration, owner panel, private meeting area, podcast content and qualified follow-up campaign built around commercial contracts rather than general foot traffic.
Fetty-led events with technical schools, workforce organizations, manufacturers and licensed operators to identify apprentices and experienced technicians.
09 · Responsible execution
This section shows that the idea has a responsible path to execution; it is not a recommendation to form an entity or begin operating now. If the founders choose to explore the concept, corporate counsel, tax counsel, licensing specialists and qualified HVAC leadership would determine the appropriate structure, launch market and authority to operate before any work is offered.
Counsel would recommend the appropriate entity, ownership, governance, tax and investment structure after the founders align on the opportunity.
Properly licensed HVAC leadership would control regulated contracting, technical decisions, permits, safety, quality and final acceptance wherever NewCo operates.
The initial geography would be selected after evaluating owner demand, licensing requirements, operating capacity, workforce availability and commercial economics.
Before accepting work, the company would establish the required registrations, technician credentials, insurance, safety systems, financial controls and customer protections.
Important: The company must not market itself as licensed, use protected license numbers or contract for regulated work until every applicable registration, qualifier, insurance and permit requirement is active.
10 · Commercial potential
Commercial owners, asset managers, property managers and facility leaders with authority over one building or an entire portfolio.
Maintenance agreements are billed monthly or quarterly, emergency work uses agreed labor and material rates, assessments can be paid or credited toward a contract, and capital projects use deposits and progress billing. Any Quotron device, connectivity and support cost must be priced into the applicable service term rather than treated as an untracked giveaway.
A feasibility phase could begin with Stephen’s warmest New Jersey and Mid-Atlantic owner relationships, subject to interest from an owner and confirmation of the required licensed operating capacity.
Evidence of owner demand, a credible licensed operating path, workable service economics, technician interest and successful technical validation of the proposed MovementAI and Quotron experience. Specific targets would be developed only after discovery.
Explore the proposed President and Co-Founder role, participate in private founder reviews and help assess whether buyer-facing and workforce activations feel authentic if the concept advances.
Own the target-account list, introductions, meetings, proposals, negotiations and contract pipeline, and lead a documented Quotron partnership workstream.
Deliver the launch identity, sales presentation, event experience, campaign assets and case-study system.
Validate every scope, price, staffing plan, permit path, safety control and service commitment before sale.
Financial gates: Founder economics, ownership, compensation, startup capital, working-capital needs, margin policy and signing authority would be developed after initial interest and before anyone commits funds or accepts work.
11 · If the idea resonates
Confirm whether the mission, company concept and proposed connection to skilled trades feel authentic to Fetty.
Explore licensed operating options, owner demand, workforce partnerships, MovementAI and Quotron feasibility, startup economics and potential founder contributions under confidentiality.
Review what was learned and decide together whether to stop, refine the idea, seek an operating partner or develop a formal business plan.
If everyone chooses to proceed, engage counsel and qualified HVAC leadership to develop founder terms, capitalization, licensing, governance, brand permissions and a responsible launch plan.
Formation and licensing, insurance and bonding, payroll reserve, vehicles and tools, software and dispatch, initial inventory, Quotron hardware and integration where approved, professional services, brand development, launch events and working capital for commercial payment cycles.
The only decision requested now
A private conversation with Fetty, Stephen and Jae would test interest and authenticity. It would not commit anyone to ownership terms, funding, a public role, a launch date or the formation of a company.
