EPA Section 608 certification for personnel handling regulated refrigerants, plus role-appropriate training and documented field competency.

Insurance + safety

Certificates for required liability, workers’ compensation, auto and umbrella coverage, supported by OSHA-aligned safety and incident procedures.

Equipment capability

Manufacturer training or certifications matched to the installed equipment where required, with specialty partners disclosed before assignment.

Service capacity

Named account leadership, dispatch coverage, qualified field staffing, escalation resources and parts/vendor support confirmed in the final scope.

Best-in-class standard

Every technician is expected to combine deep mechanical judgment, disciplined communication, clean documentation and accountable closeout.

NewCo will provide a project-specific credential, insurance and capacity package for Red Apple review before mobilization. No regulated work begins until applicable requirements are confirmed.

07

Service commitments

Clear priorities, escalation and callback accountability.

Priority 1 · Critical

Safety concern, major outage or material asset risk. 24/7 intake, 15-minute acknowledgment target and two-hour on-site target within the agreed service area.

Priority 2 · Urgent

Major comfort impact or partial system loss. 30-minute acknowledgment target and four-hour on-site target during covered periods.

Priority 3 · Routine

Noncritical service need. Same-business-day acknowledgment and scheduling within one to two business days.

Priority 4 · Planned

Maintenance, testing, commissioning or approved project work delivered on an agreed schedule.

Coverage

Proposed regular coverage: Monday–Friday, 7:00 a.m.–6:00 p.m., with 24/7 critical-event intake.

Communication

Named escalation contacts, arrival updates, field closeout, monthly service review and quarterly executive reporting.

Callback accountability

Same documented issue receives priority review, root-cause documentation and warranty treatment under the final service agreement.

Response times are proposed targets, subject to final staffing, service-area, access, weather, parts and emergency-condition terms.

08

Owner value

Measure operating performance and build a defensible financial case.

Final definitions and baselines are agreed before reporting. Outcomes are tied to verified actions where feasible.

Comfort complaints and response time
Critical alarms and unresolved faults
Runtime and scheduling anomalies
Preventive-maintenance closure
Emergency calls and repeat callbacks
Weather-normalized HVAC energy indicators
Verified work completion
Capital-plan opportunities identified

Owner-value evidence framework

The pilot establishes a traceable business case without presenting projections as realized savings. Every reported value is labeled as verified, estimated or not yet measurable.

Emergency-cost exposure

Compare emergency calls, overtime, temporary measures and consequential costs against the agreed baseline.

Maintenance performance

Track planned-versus-reactive work, repeat calls, completion quality and labor or material trends.

Equipment-life support

Document condition findings and interventions that may defer replacement, while avoiding unsupported useful-life claims.

Energy impact

Measure weather-normalized indicators only where data quality and an agreed comparison method support attribution.

Capital planning

Translate verified condition and operating evidence into timing, priority, budget range and decision ownership.

Owner value record

Report validated savings, avoided costs and planning value separately from projections and unverified opportunities.

09

Integration + cybersecurity

Owner-approved data, least privilege and a workable path without a modern BAS.

Permitted sources

Only owner-approved BAS, sensor, meter, alarm, equipment, maintenance, work-order and technician records enter the pilot.

Read-only by default

Connections begin with least-privilege, read-only access. No autonomous equipment command or control is included.

Ownership + use

Red Apple retains ownership of its building data. NewCo and MovementAI use it only for the authorized scope and agreed reporting.

Security boundary

Approved credentials, encrypted transmission and storage, access logging and role-based permissions are documented before connection.

Retention + exit

The final agreement defines retention. On termination, access is revoked and project data is returned or deleted within the agreed period, subject to legal records.

No usable BAS

The pilot can begin with manual inventory, work orders, utility or meter data, portable logging and technician observations without delaying mechanical discovery.

System compatibility, security controls, retention periods and incident procedures are documented in the final integration plan and approved by Red Apple before connection.

10

Responsibility matrix

Every party knows what it owns, performs and authorizes.

PartyPrimary responsibilityAuthority boundary
MovementAIOrganizes approved signals, identifies patterns, prioritizes review and maintains the Building Brain evidence layer.Does not diagnose regulated work, control equipment or authorize spending.
NewCoValidates conditions, defines technical scope, prices and performs approved HVAC work, and documents completion.Licensed technical leadership owns diagnosis, safety, permits and field acceptance.
Red AppleSets objectives, grants permissions, approves scope and spending, coordinates site access and accepts business decisions.Retains owner authority over operations, vendors, data access and portfolio expansion.
Joint governanceReviews evidence, exceptions, performance and next actions through an agreed operating cadence. No party may bypass owner approval or applicable technical authority.
11

Operating boundaries

Technology expands visibility. It does not replace accountability.

Owner control

Red Apple approves data access, every paid scope, operating changes and portfolio expansion.

Technical authority

Licensed leadership retains authority over diagnosis, safety, permits, refrigerant work and final acceptance.

Read-only first

Initial integration observes approved data. No autonomous equipment control is included in the proposed pilot.

Measured claims

No savings or equipment-condition claim is made until baseline data, field findings and an agreed comparison method support it.

NYC planning context

Support informed compliance and emissions planning without presuming a deficiency.

Where applicable, Red Apple may use verified HVAC condition, controls, runtime, maintenance and energy evidence to support Local Law 97 planning, benchmarking, capital sequencing and professional review. The pilot does not determine legal compliance, certify emissions performance or imply that Ocean Drive has a violation. Red Apple’s legal, engineering and compliance advisors retain those determinations.

12

Commercial framework

Discovery first, then a fixed-price decision.

The confidential discovery session determines the final assessment fee, milestone schedule and property-specific scope.

Pilot fee

NewCo will issue a fixed-price proposal after confidential records review and a technical discovery walkthrough.

Payment schedule

The fixed-price scope will use milestone billing: an authorization deposit, a baseline-delivery payment and a final-report balance, with percentages stated before acceptance.

Proposal validity

The issued commercial proposal will remain valid for 30 days unless its cover letter states otherwise.

Recurring service

Preventive maintenance is priced as an annual agreement billed monthly or quarterly; emergency work uses agreed labor and material rates; approved capital work is separately fixed-priced.

Change control

Work outside the signed scope requires written owner approval describing price, schedule and operating impact.

No implied commitment

Discovery creates no obligation to proceed. No paid work begins without a signed scope and authorized purchasing path.

13

Portfolio pathway

Prove the model at Ocean Drive, then expand only where the evidence supports it.

1

Prove Ocean Drive

Establish verified asset, service, data and value baselines.

2

Standardize the playbook

Approve repeatable assessment, service, security and reporting standards.

3

Select next properties

Prioritize buildings by operating need, data readiness and commercial value.

4

Portfolio reporting

Roll verified building evidence into an owner-level operating view.

Expansion is not automatic. Each property requires Red Apple approval, a defined business case, applicable technical review and a separate commercial scope.

14
